1. Who these terms are between

These Terms of Service ("terms") are an agreement between BidRidge [legal name, e.g. "BidRidge LLC, an Alaska limited liability company"], [business address] ("BidRidge", "we", "us"), and the business or person who downloads, installs, starts a trial of, buys or uses BidRidge ("you"). If you accept these terms for a company, you confirm you're allowed to bind that company.

By starting a trial, buying a license, or using the BidRidge apps, website or license service, you agree to these terms and to our Privacy Policy. If you don't agree, don't use BidRidge.

3. What BidRidge is

BidRidge is estimating software that helps contractors price jobs from their own wages, production rates, material prices, overhead and margins, and produce proposals, job packs and lead records. It runs as a web app, an Android app and desktop apps for Windows, Mac and Linux. Features may change as we improve BidRidge.

BidRidge works with services we don't control, such as Stripe (payments), Google Play (Android downloads), Cloudflare (license server), Netlify, Formspree (for the optional price page kit), Zapier, Make, Facebook, Google and lead sites. Your use of them is under their own terms, and any fees they charge are yours. We aren't responsible for their availability or actions.

If you send us ideas or suggestions, we may use them without owing you anything.

14. Ownership

BidRidge, including its software, calculations, design, name and logo, is owned by us and protected by law. These terms give you a license to use it, not ownership. Proposals and documents you create with BidRidge are yours.

16. No warranty

BidRidge is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and any warranty that BidRidge will be error-free, uninterrupted or that its prices will be correct for your jobs.

17. Limits on liability

To the fullest extent the law allows, BidRidge and its owners, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost jobs, underbid or overbid work, cost overruns, lost data, or disputes with your customers, even if we were told they were possible. Our total liability for all claims relating to BidRidge is limited to the amount you paid us for BidRidge in the 12 months before the claim.

Some places don't allow certain warranty disclaimers or liability limits, so some of the above may not apply to you.

18. Indemnity

You agree to defend and hold us harmless from claims by third parties (including your customers) arising from your bids, proposals, contracts or work, your use of BidRidge, or your breaking these terms or the law, and to cover reasonable costs, including attorney fees, that result.

We may update these terms. We'll post the new version here with a new effective date, and for significant changes we'll tell you by email or in the app at least 14 days before they apply. If you keep using BidRidge after that, the new terms apply. If you don't agree, stop using BidRidge and cancel any monthly plan.
